1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Iristica Labs FZ-LLC ("Iristica Labs," "we," "us," or "our"), a company incorporated in the Dubai International Financial Centre, UAE.

By accessing or using our robotics data labeling platform ("Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Labeler Terms

If you use the Platform as a labeler:

4.1 Task Completion

• You agree to complete tasks accurately and in good faith
• You must follow the provided annotation guidelines
• Low-quality or fraudulent work may result in account suspension

4.2 Payouts

• Payouts are made in USDC to the wallet address you provide
• Minimum payout threshold of $0.50 USD applies (except for admin accounts)
• You are responsible for any taxes on earnings
• Payout rates are subject to change with notice

4.3 Intellectual Property

All annotations and labels you create become the property of Iristica Labs. You grant us a perpetual, irrevocable, worldwide license to use, modify, and distribute your work as part of our datasets.

5. Buyer Terms

If you license datasets from us:

• Datasets are licensed, not sold
• Usage is subject to the specific license agreement for each dataset
• Redistribution without authorization is prohibited
• We make no guarantees about model performance from our data

6. Prohibited Conduct

You agree not to:

• Submit false, misleading, or low-quality annotations
• Use automated tools to complete labeling tasks
• Create multiple accounts to circumvent restrictions
• Attempt to access data or systems without authorization
• Violate any applicable laws or regulations
• Harass or harm other users
• Reverse engineer or scrape the Platform

7. Intellectual Property

The Platform, including its design, code, and branding, is owned by Iristica Labs. You may not copy, modify, or distribute any part of the Platform without our written consent.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Continuous or error-free operation
• Availability of tasks or payouts
• Accuracy of any information on the Platform

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRISTICA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability for any claim shall not exceed the amount paid to or by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Iristica Labs and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your access to the Platform will be revoked
• Pending payouts may be forfeited if termination is due to fraud
• Provisions that should survive termination will remain in effect

12. Governing Law

These Terms are governed by the laws of the Dubai International Financial Centre, UAE. Any disputes shall be resolved in the DIFC Courts, unless otherwise required by applicable consumer protection laws.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Platform. Continued use after changes constitutes acceptance of the modified Terms.
